These Terms govern access to and use of the Luknfil website (“Website”) and Luknfil’s business-to-business (“B2B”) wholesale relationship with professional customers (“Customer”), including opticians, retailers, distributors, and other professional partners.

By using the Website and/or placing wholesale orders through Luknfil’s approved channels, you agree to these Terms.

1. Scope and Eligibility

  1. The Website and Luknfil wholesale services are intended exclusively for business customers (B2B).
  2. By using the Website, you confirm you act in a professional capacity and not as a consumer.
  3. Luknfil may restrict or revoke access to parts of the Website at any time (e.g., retailer portal) at its discretion.

2. Website Use

  1. Website content is provided for informational and professional purposes only.
  2. The Website may include product information, technical details, brand assets, and retailer resources.
  3. The mere use of the Website does not create a contractual relationship.

3. Content Disclaimer

  1. Luknfil creates Website content with care. However, Luknfil does not guarantee the accuracy, completeness, or timeliness of all Website content.
  2. Product images, colors, and renderings may appear differently depending on screens and devices.
  3. Use of the Website content is at the user’s own risk.

4. External Links

  1. The Website may contain links to third-party websites.
  2. Luknfil has no control over third-party content and is not responsible for it.
  3. If Luknfil becomes aware of legal violations, links may be removed.

5. Intellectual Property Rights

  1. All Website content (including texts, images, product photos, graphics, layouts, logos, trademarks, videos, and downloadable files) is owned by Luknfil or its licensors and is protected by intellectual property laws.
  2. Any reproduction, distribution, modification, publication, or commercial use requires prior written consent from Luknfil.
  3. Display of this Website in frames or similar embedding methods is permitted only with written permission.

6. Product Design Protection / No Reverse Engineering

  1. The Customer must not imitate, dismantle, copy, scan, analyze, or reverse engineer Luknfil products or components (including design, geometry, structures, materials, finishing, or assembly methods).
  2. The Customer must not enable or instruct third parties to do so.
  3. Any breach may result in immediate termination of the business relationship and legal action, including injunctive relief and damages.

7. Wholesale Ordering (Non-Ecommerce)

  1. The Website is not an e-commerce store.
  2. Wholesale orders are placed only through Luknfil’s approved channels (e.g., sales representative, email, retailer account/portal, or other written process).
  3. A binding wholesale contract is formed only when Luknfil confirms acceptance in writing (email sufficient).
  4. Luknfil may refuse orders at its discretion (for example: availability, compliance, territory strategy, brand protection, or other operational reasons).

8. Delivery, Transfer of Risk, and Cooperation

  1. Delivery dates are estimates unless expressly agreed as binding in writing.
  2. Partial deliveries may be made where reasonable.
  3. The Customer must provide correct shipping and contact information and cooperate where required for delivery (e.g., customs documentation if applicable).
  4. Risk transfers to the Customer upon handover of goods to the carrier, unless mandatory law provides otherwise.
  5. The Customer must inspect shipments on receipt and report visible issues promptly and in writing.

9. Warranty and Defects (B2B)

  1. Luknfil supplies products intended for professional resale and fitting by qualified optical partners.
  2. Minor deviations that do not materially affect usability may not constitute a defect.
  3. Warranty does not cover damage caused by misuse, improper handling, unauthorized repair/modification, accidents, or normal wear and tear.
  4. The Customer must notify Luknfil of alleged defects promptly and provide reasonable documentation (e.g., batch reference, photos, description).

10. Limitation of Liability

  1. Luknfil is liable for intent and gross negligence.
  2. For slight negligence, Luknfil is liable only for breach of essential contractual obligations and only for foreseeable damages typical of the contract.
  3. Luknfil is not liable for indirect or consequential losses (including lost profit or business interruption), to the extent permitted by law.
  4. Liability for injury to life, body or health and liability under mandatory product liability laws remain unaffected.

11. Brand Use and Marketing Materials

  1. Use of Luknfil trademarks, logos, product photos, or brand assets by the Customer must comply with Luknfil brand guidelines and any written instructions from Luknfil.
  2. Luknfil may request removal or correction of any brand use that is inconsistent, misleading, or harmful to the brand.

12. Confidentiality

  1. Any non-public business information shared by Luknfil (including wholesale materials, catalogs not publicly distributed, retailer resources, and operational information) shall be treated as confidential.
  2. The Customer may not disclose such information to third parties without Luknfil’s prior written consent.

13. Force Majeure

Luknfil is not liable for delays or failure to perform due to events beyond reasonable control, including supply chain disruptions, strikes, governmental actions, natural disasters, or carrier disruptions.

14. Severability

If any provision of these Terms is invalid or unenforceable, the remaining provisions remain in full force and effect.

15. Governing Law and Jurisdiction

  1. These Terms are governed by the laws of XXX.
  2. Exclusive place of jurisdiction is XXX, unless mandatory law provides otherwise.
